These Terms of Service are a contract between you and Invoice Toro. They cover your use of the Invoice Toro mobile app and invoicetoro.com. Please read them — a few sections, like the note that Invoice Toro is not a tax or legal advisor, really matter.
1.Agreement to these terms
By creating an account or using Invoice Toro, you agree to these Terms and to our Privacy Policy. If you don't agree, please don't use the app. If you use Invoice Toro on behalf of a business or organization, you represent that you're authorized to accept these Terms on its behalf.
2.Who can use Invoice Toro
You must be at least 18 years old and able to form a binding contract. Invoice Toro is built for business and professional use — billing clients, managing estimates, and keeping your books — not for personal or household purposes.
3.Your account
You're responsible for your login credentials and for everything that happens under your account. Keep your password secure, and tell us at support@invoicetoro.com right away if you suspect unauthorized use. Don't share one login — add teammates with roles instead, so each person has their own access. You're responsible for keeping the information in your account accurate.
4.The service
Invoice Toro lets you create invoices, estimates, credit memos, and purchase orders; record payments; manage clients and a catalog of items; generate branded PDFs; and email documents to recipients you choose. We're always improving the app, so features may be added, changed, or removed. Anything labelled "coming soon" — such as AI drafting or the web app — is a plan, not a promise, and isn't guaranteed.
5.Subscriptions, trials, and billing
- Toro Pro is a paid subscription that includes a free trial. When the trial ends, the subscription renews at the then-current price unless you cancel.
- Purchases and renewals are billed by the Apple App Store or Google Play under their terms — not directly by us. We don't receive or store your payment card details.
- Your subscription auto-renews unless you cancel at least 24 hours before the current period ends. Manage or cancel it in your App Store or Google Play account settings.
- Refunds are handled by Apple or Google according to their policies. Deleting the app does not cancel a subscription.
- Prices may change. We'll give reasonable notice, and any change applies to your next billing period.
6.Your content and data
You own your content. The business information, clients, documents, and data you put into Invoice Toro are yours. We don't claim ownership of them.
You grant us a limited license to host, store, process, transmit, and display your content solely to operate the service for you — for example, to sync it across your devices, render your PDFs, and send the emails you initiate.
You're responsible for your content: its accuracy and legality, and your right to store information about your clients. You must have a lawful basis for that information and provide your clients any notices they're owed — see the controller/processor split in our Privacy Policy. Invoice Toro is not a system of record for tax or legal purposes; export important documents as PDFs and keep your own copies.
7.Not professional advice
Please read this one
Invoice Toro is software — not an accountant, bookkeeper, tax advisor, or lawyer. Tax presets, rates, and calculations are tools to help you; they're provided without any warranty that they're correct for your particular situation.
You are responsible for verifying every amount, tax rate, and total, and for your own legal, tax, and regulatory compliance. Check the figures before you send a document or rely on it. Tax rules vary by place and change over time, and our defaults may not fit your case.
8.Payments are recorded, not processed
Invoice Toro records the payments you enter, for your own bookkeeping. We are not a payment processor, bank, or money transmitter. Invoice Toro does not collect, hold, or move funds between you and your clients, and marking an invoice "paid" does not move any money.
9.Emailing documents
When you send an invoice, estimate, or reminder, you choose the recipients and the content, and the message is sent on your behalf. You're responsible for having the right to email those recipients and for complying with anti-spam and communications laws that apply to you (such as CAN-SPAM, CASL, or GDPR/PECR). Don't use Invoice Toro to send spam or unlawful, deceptive, or harassing messages. We may suspend sending that we reasonably believe is abusive or violates these Terms.
10.Acceptable use
When using Invoice Toro, you agree not to:
- break the law or infringe anyone's rights;
- upload malware, or attempt to breach the security of the service, other accounts, or our systems;
- reverse engineer, resell, or build a competing product from the app, except to the extent the law expressly permits;
- overload, disrupt, or interfere with the service or its infrastructure; or
- use Invoice Toro to defraud or deceive anyone.
We may suspend or terminate accounts that violate these Terms.
11.Third-party services
Invoice Toro relies on services from Apple, Google (including Firebase), Postmark, and others to work. Your use of the app may also be subject to those providers' terms, and we're not responsible for third-party services we don't control. Your download and subscription are additionally governed by the terms of the app store you use.
12.Intellectual property
The Invoice Toro app, the Invoice Toro name, the ToroMark, this website, and their design and content are ours and protected by intellectual-property laws. We grant you a personal, non-exclusive, non-transferable, revocable license to use the app in accordance with these Terms. The documents you generate are yours; our name and branding are not, and this license doesn't let you use them.
13.Disclaimers
Invoice Toro is provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation. We don't warrant that the app will always be available, secure, or free of errors, or that calculations will be correct for your situation. Some jurisdictions don't allow certain warranty exclusions, so parts of this section may not apply to you.
14.Limitation of liability
To the fullest extent permitted by law, Invoice Toro and the people and companies behind it will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the service. Our total liability for any claim relating to the service is limited to the greater of the amount you paid us in the 12 months before the claim, or US $50. Nothing in these Terms limits liability that can't be limited under applicable law.
15.Indemnification
You agree to defend, indemnify, and hold harmless Invoice Toro and its operators from any claims, damages, losses, and reasonable legal costs arising out of your content, your use of the service, your violation of these Terms or the law, or your violation of anyone's rights — including the rights of your clients.
16.Termination
You can stop using Invoice Toro and delete your account at any time. We may suspend or terminate your access if you breach these Terms, or where reasonably necessary to protect the service or other users. When your access ends, your license to use the app ends too; you can export your data first, and any data that remains is handled as described in our Privacy Policy. Sections that by their nature should survive termination — such as content ownership, disclaimers, limitation of liability, and indemnification — will continue to apply.
17.Changes to these terms
We may update these Terms from time to time. When we do, we'll revise the "Last updated" date above and give notice of material changes in the app or by email. If you keep using Invoice Toro after a change takes effect, you accept the updated Terms.
18.Governing law and disputes
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules, and any dispute will be handled in the state or federal courts located in Pinellas County, Florida — except where your local consumer-protection law gives you the right to bring proceedings elsewhere. Before filing anything, please contact us; most issues can be resolved quickly by email.
19.General
- If any provision of these Terms is found unenforceable, the rest stays in full effect.
- Our failure to enforce a provision isn't a waiver of it.
- These Terms, together with the Privacy Policy, are the entire agreement between you and us about the service.
- You may not assign these Terms without our consent; we may assign them to a successor, for example in a merger or sale of the business.
